Job Description

The Charlotte, NC office of Alston & Bird is currently seeking a Case Assistant to work in the Corporate Transactions & Securities practice group supporting Alston & Bird’s national private equity practice. The Case Assistant program is an internship designed for recent college graduates who are considering going to law school, or who want to learn more about the legal profession, especially those interested in corporate or transactional law. Working directly with attorneys, Case Assistants will be client-facing and will perform a variety of duties to assist the firm’s corporate transaction and private equity practices. This position is a unique opportunity to work directly with our attorneys, make important contacts and gain an understanding of the practice of law at one of the nation’s leading firms. This position requires a professional, highly motivated individual who is capable of functioning in a fast-paced, performance-driven environment. Strong interpersonal and communication skills, along with the ability to work collaboratively as a team, are required. This position is intended to be a 1-2 year program.  

 

Essential Duties:

  • Assist in the preparation for, and closing of, various corporate acquisition and sales transactions
  • Organize data rooms and manage deal tracking
  • Document proofreading/scrubbing and duplication of form documents
  • Conduct lien searches and prepare summaries
  • Prepare closing checklists, organize closing documents, and coordinate closing filings
  • Coordinate the transfer of funds amongst parties and third-party paying agents
  • Distribution, tracking and organization of signature pages
  • Prepare closing binders and assist with post-closing procedures
  • Assist in the preparation of documents/filings required for entity formation and ongoing corporate maintenance
  • Draft board/equity holder resolutions and consents; maintain associated records
  • Capitalization table maintenance
  • Interface with corporate service providers regarding statutory registered agent services
  • Draft memos regarding the status of projects
  • Maintain current and accurate time records and time sheets
  • Perform special projects as assigned
  • Work often requires more than 37.5 hours per week to perform the essential duties of the position; may require irregular or weekend hours

Skills Needed to be Successful:

  • Ability to organize and prioritize numerous tasks and complete them under time constraints
  • Ability to proofread typed material for contextual, grammatical, typographical, or spelling errors
  • Interpersonal skills necessary to communicate and follow instructions effectively
  • Work requires a high level of mental engagement while organizing and maintaining multiple transactions and workstreams
  • Ability to comprehend and interpret verbal and written concepts to facilitate the accurate completion of a task
  • Strong attention to detail, follow through, responsiveness and client management skills
  • Strong command of the English language
  • Willingness to work hours beyond the normal workday
  • Bachelor’s degree with a cumulative GPA of 3.0 or higher
